PLEASE READ THESE TERMS CAREFULLY BEFORE USING HEAVEN TOKEN

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Heaven Eco Hub ("we", "us", "our", or "Platform") governing your acquisition, holding, and use of Heaven Token (HEAVEN).

BY ACQUIRING, HOLDING, OR USING HEAVEN TOKEN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACQUIRE OR USE HEAVEN TOKEN.

1. DEFINITIONS

1.1 "Heaven Token" or "HEAVEN" means the BEP-20 utility token operating on BNB Smart Chain as described in these Terms.

1.2 "Heaven Ecosystem" means the suite of applications including but not limited to Heaven Wallet, Heaven Dreams, Heaven Festivals, Heaven Homes, Heaven Realms, Soul Mates, Heaven Chat, Amari, and AI Boss.

1.3 "Platform" means Heaven Eco Hub and its associated applications, websites, and services.

1.4 "Reserves" means the USD cash and physical gold holdings maintained to support the Heaven Token stability mechanism.

1.5 "Target Price" means the indicative price of $0.01 USD per HEAVEN token used for ecosystem pricing.

1.6 "User Wallet" means the blockchain wallet address you control for holding HEAVEN tokens.

1.7 "Redemption" means the exchange of HEAVEN tokens for USDT, USDC, or physical gold as described in Section 9.

1.8 "Services" means all services, features, and functionalities provided by the Heaven Ecosystem.

1.9 "Heaven Realms" means the gaming platform within the Heaven Ecosystem including creature collection, virtual world exploration, and in-game economies.

1.10 "AI Boss" means the artificial intelligence workflow orchestration and task automation platform within the Heaven Ecosystem.

2. ACCEPTANCE AND ELIGIBILITY

2.1 Age Requirements

General Use: You must be at least 18 years of age to acquire or use HEAVEN tokens.

Heaven Realms Gaming: Users aged 13-17 may access Heaven Realms with verifiable parental consent, but may not:

• Acquire HEAVEN tokens directly

• Make purchases or financial transactions

• Redeem tokens for fiat or physical gold

• Access AI Boss automation features

By accepting these Terms, you represent and warrant that you meet these age requirements.

2.2 Legal Capacity
You represent and warrant that you have full legal capacity to enter into these Terms and are not prohibited by any applicable law from using cryptocurrency or blockchain-based tokens.

2.3 Jurisdiction Restrictions
HEAVEN tokens may not be available or legal in all jurisdictions. You are responsible for determining whether your acquisition, holding, or use of HEAVEN complies with applicable laws in your jurisdiction. We reserve the right to restrict access from specific jurisdictions.

2.4 Prohibited Jurisdictions
Users from the following jurisdictions are explicitly prohibited from acquiring or using HEAVEN:

• Jurisdictions where cryptoassets are illegal

• Countries subject to comprehensive sanctions (as updated by OFAC, UN, EU, UK)

• Any jurisdiction where offering HEAVEN would violate local laws

2.5 Sanctions Compliance
You represent that you are not:

• Located in, resident of, or operating from a sanctioned jurisdiction

• Listed on any sanctions list (OFAC SDN, EU, UK HMT)

• Owned or controlled by any sanctioned person or entity

• Engaging in activities that would violate sanctions laws

3. NATURE OF HEAVEN TOKEN

3.1 Utility Token
HEAVEN is a utility token designed exclusively for use within the Heaven Ecosystem. It is NOT:

• An investment product or security

• E-money under the Electronic Money Regulations 2011

• A regulated stablecoin under FCA jurisdiction

• A deposit or savings product

• A share, debt instrument, or derivative

• Regulated by the Financial Conduct Authority

• In-game currency subject to gaming regulations (it functions across multiple applications)

3.2 No Investment Purpose
HEAVEN tokens are designed for utility consumption within the Platform, not for investment, speculation, or capital appreciation. You should not acquire HEAVEN with the expectation of profit.

3.3 No Regulatory Protection
You acknowledge that HEAVEN is not regulated by the FCA and you do not have access to:

• Financial Services Compensation Scheme (FSCS)

• Financial Ombudsman Service (FOS)

• UK financial regulatory protections

3.4 Intended Use
HEAVEN tokens are intended solely for:

• Activation for Platform services and fees such a Gas Fees across all Heaven Ecosystem applications

• Inter-application transactions within Heaven Ecosystem

• Heaven Dreams crowdfunding platform fees and Supporting others dreams

• Heaven Festivals event ticketing and in event activation access

• Heaven Homes real estate transaction fees

• Soul Mates - No current Utility yet for this product / application

• Heaven Chat and Amari AI assistant services

• Heaven Realms in-game purchases, creature purchases, and virtual economy participation

• AI Boss workflow automation credits, task execution fees on a server effort basis

• Exchange for USDT/USDC to enter/exit the ecosystem

• Redemption for physical gold (subject to minimums and conditions and solely a future concept for now, WORK IN PROGRESS/2027 predicted arrival)

4. COMPREHENSIVE RISK WARNINGS

YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING RISKS:

4.1 Loss of Value Risk

• HEAVEN may lose some or all of its value

• The Target Price of $0.01 is indicative, NOT guaranteed

• No capital protection or principal guarantee exists

• You may lose your entire investment

4.2 No Guarantee of Stability

• While reserves support stability, they do NOT guarantee the Target Price

• Market conditions may cause deviation from $0.01

• Reserve adequacy depends on business performance across all Heaven Ecosystem products

• Collateralization ratio may fall below 100%

4.3 Smart Contract Risk

• Smart contracts may contain bugs, vulnerabilities, or exploits

• Technical failures could result in loss or theft of tokens

• Blockchain networks may experience outages or attacks

• Smart contract code is provided "AS IS" without warranty

• Heaven Realms game mechanics and AI Boss automation rely on smart contracts

4.4 Liquidity Risk

• Redemption depends on Platform liquidity and operational capacity

• Redemptions may be delayed, limited, or suspended

• USDT/USDC exchange liquidity may be insufficient

• Physical gold redemption is subject to availability and minimums as and when we open this service, currently this is under developement and only WORK IN PROGRESS

• In-game assets or AI Boss credits may not be convertible to HEAVEN

4.5 Operational Risk

• Platform may cease operations permanently or temporarily

• Business failure could prevent redemption or access to tokens

• Third-party service providers (exchanges, custodians, game servers) may fail

• Technical infrastructure may experience downtime

• Heaven Realms servers or AI Boss systems may become unavailable

4.6 Reserve Risk

• Gold reserve values fluctuate with commodity markets

• USD reserves subject to inflation and currency devaluation

• Reserve custodians could fail, be hacked, or become insolvent

• Revenue allocation depends on business performance across Heaven Dreams, Heaven Festivals, Heaven Homes, Heaven Realms, AI Boss, and all ecosystem products (not guaranteed)

4.7 Regulatory Risk

• Cryptocurrency regulations are evolving and uncertain

• Gaming regulations may impact Heaven Realms operations

• AI and automation regulations may impact AI Boss functionality

• Future laws may prohibit, restrict, or heavily regulate HEAVEN

• Regulatory classification may change, affecting token utility

• Compliance costs may increase, affecting Platform viability

• Tax treatment may change unexpectedly

4.8 Counterparty Risk

• Platform operators may act negligently or fraudulently

• Reserve custodians may fail to safeguard assets

• Audit firms may fail to detect problems

• Third-party integrations may fail or be compromised

• Game developers or AI service providers may cease operations

4.9 Cybersecurity Risk

• Hacking, phishing, and theft attempts are common in crypto

• You are solely responsible for securing your private keys

• Lost or stolen private keys cannot be recovered

• Platform systems, game servers, and AI infrastructure may be targeted by malicious actors

4.10 Market Risk

• Cryptocurrency markets are highly volatile

• USDT/USDC exchange rates may deviate from $1

• BNB gas fees may increase substantially

• Market conditions may prevent trading or redemption

4.11 Gaming-Specific Risks (Heaven Realms)

• In-game items, creatures, or assets may lose value or become worthless

• Game mechanics may change affecting asset values

• Virtual economies may collapse or experience hyperinflation

• Account bans or restrictions may result in loss of in-game assets

• Game may shut down permanently, making in-game assets inaccessible

• No guarantee of ability to convert in-game assets to HEAVEN tokens

4.12 AI Automation Risks (AI Boss)

• AI systems may malfunction or produce erroneous results

• Automated workflows may fail or execute incorrectly

• AI-generated content may violate third-party rights

• Automation may cause unintended consequences to your data or systems

• API integrations with third-party services may fail

• Credit consumption may not result in successful task completion

• AI output quality and accuracy not guaranteed

4.13 Irreversibility Risk

• Blockchain transactions are irreversible

• Tokens sent to wrong addresses cannot be recovered

• In-game purchases and AI Boss credit consumption are non-refundable

• Platform cannot reverse erroneous transactions

• No "chargebacks" or transaction disputes

4.14 Fork Risk

• BNB Smart Chain may undergo forks or network splits

• Token compatibility may be affected by chain upgrades

• Platform may choose to support only one fork version

5. USER OBLIGATIONS

5.1 Know Your Customer (KYC)
You agree to:

• Provide accurate, current, and complete identity information

• Submit government-issued identification when requested

• Complete video verification if required

• Update information promptly when circumstances change

• Cooperate with additional verification requests

• For minors using Heaven Realms: Provide verifiable parental consent

5.2 Anti-Money Laundering (AML)
You represent and warrant that:

• Funds used to acquire HEAVEN are from legitimate sources

• You are not using HEAVEN for money laundering or terrorist financing

• You will provide source of funds documentation when requested

• You comply with all applicable AML laws in your jurisdiction

5.3 Tax Compliance
You acknowledge and agree that:

• You are solely responsible for all tax obligations

• Cryptocurrency transactions may be taxable events

• In-game purchases and sales may have tax implications

• AI Boss service usage may be deductible business expense (consult tax advisor)

• You will report and pay all applicable taxes

• Platform will not provide tax advice or reporting

• Platform may report information to tax authorities as required by law

5.4 Accurate Information
You must:

• Provide truthful and accurate information at all times

• Not impersonate others or use false identities

• Maintain updated contact information

• Notify Platform of any unauthorized access to your account

5.5 Prohibited Activities
You agree NOT to:

• Use HEAVEN for illegal activities

• Engage in market manipulation or wash trading

• Violate any sanctions or export control laws

• Use HEAVEN to facilitate terrorism, trafficking, or other crimes

• Create multiple accounts to circumvent limits

• Reverse engineer or attempt to hack Platform systems

• Use automated systems (bots) without authorization for gaming or AI exploitation

• Interfere with other users' access or enjoyment of Services

• Exploit bugs or glitches in Heaven Realms for unfair advantage

• Use AI Boss to violate third-party terms of service or create harmful content

• Manipulate in-game economies or engage in fraud

• Deploy AI automation for spam, harassment, or malicious purposes

5.6 Wallet Security
You are solely responsible for:

• Securing your private keys and recovery phrases

• Using strong passwords and two-factor authentication

• Keeping your devices secure from malware

• Not sharing credentials with third parties

• Regular backups of wallet information

5.7 Gaming Conduct (Heaven Realms)
You agree to:

• Follow community guidelines and terms of service

• Not engage in cheating, exploits, or unauthorized modifications

• Respect intellectual property rights in user-generated content

• Not engage in harassment, hate speech, or abusive behavior

• Accept that in-game assets have no guaranteed real-world value

5.8 AI Usage Responsibility (AI Boss)
You agree to:

• Use AI Boss only for lawful purposes

• Not use AI to generate illegal, harmful, or infringing content

• Verify AI outputs before relying on them for important decisions

• Not hold Platform liable for AI errors or inaccuracies

• Comply with third-party API terms when using integrations

• Not attempt to reverse engineer or extract AI models

6. PLATFORM RIGHTS AND LIMITATIONS

6.1 Modification Rights
We reserve the right to:

• Modify these Terms at any time (with notice)

• Update Platform features and functionality across all applications

• Change fee structures (with reasonable notice)

• Modify reserve allocation strategies

• Adjust redemption terms and minimums

• Modify Heaven Realms game mechanics, economies, or features

• Update AI Boss capabilities, credit costs, or usage limits

• Add or remove ecosystem applications

6.2 Suspension and Termination
We may suspend or terminate your access if:

• You violate these Terms

• We suspect fraud, money laundering, or illegal activity

• Required by law or regulatory authority

• Your account poses security risks

• You fail to complete KYC/AML verification

• You exploit Heaven Realms mechanics or engage in cheating

• You misuse AI Boss for prohibited purposes

• You engage in market manipulation or abuse

6.3 No Guarantee of Service
We do NOT guarantee:

• Continuous, uninterrupted Platform availability

• Error-free or bug-free Services across any application

• Compatibility with all devices or browsers

• Permanent availability of any feature, game, or AI capability

• Any specific level of service quality

• Heaven Realms server uptime or game availability

• AI Boss accuracy, performance, or availability

6.4 Reserve Management Discretion
We retain sole discretion over:

• USD/gold allocation percentages

• Timing and method of reserve purchases

• Selection of custodians and service providers

• Rebalancing strategies and frequency

• Reserve composition within stated ranges (60-75% USD, 25-40% gold)

• Allocation of revenue from Heaven Realms and AI Boss to reserves

6.5 Emergency Powers
In emergency situations, we may:

• Temporarily suspend redemptions

• Halt token minting or burning

• Freeze suspicious accounts

• Implement trading limits or restrictions

• Suspend Heaven Realms game servers

• Limit AI Boss automation capabilities

• Take any action necessary to protect Platform and users

6.6 Content Moderation
We reserve the right to:

• Remove or moderate user-generated content in Heaven Realms

• Filter or block AI Boss outputs that violate policies

• Disable accounts that violate community standards

• Report illegal content to authorities

7. RESERVE SYSTEM

7.1 Reserve Structure
Reserves consist of:

• USD cash held in bank accounts

• Physical gold custodied by Brinks

• Target collateralization: 100%+ of circulating HEAVEN value

• Target composition: 60-75% USD, 25-40% gold

7.2 Revenue Allocation

• 30% of Heaven Ecosystem product revenue allocated to reserves

• Revenue sources include: Heaven Dreams, Heaven Festivals, Heaven Homes, Soul Mates, Heaven Chat, Amari, Heaven Realms, and AI Boss

• Allocation period: 25th of month through 5th of following month

• Dynamic split between USD and gold based on market conditions

• No guarantee of specific allocation amounts or percentages

7.3 Reserve Valuation

• Gold valued at current spot market price

• USD valued at face value

• Monthly independent audit attestation

• Public transparency via reserve dashboard

7.4 No Segregated Accounts

• Reserves are pooled, not segregated per user

• You have no individual claim to specific reserve assets

• Reserves support all HEAVEN holders collectively

• Platform manages reserves on aggregate basis

7.5 Reserve Risks
You acknowledge:

• Reserves may fall below 100% collateralization

• Revenue allocation depends on business performance across all ecosystem applications

• Reserve composition may change within stated ranges

• Gold prices fluctuate; USD purchasing power may decline

• Custodians may fail or be compromised

• Revenue from Heaven Realms may decline if game popularity decreases

• AI Boss subscription revenue may fluctuate with market adoption

7.6 No Ownership Rights
Holding HEAVEN does NOT grant you:

• Ownership of reserve assets

• Voting rights on reserve management

• Ability to direct reserve allocation

• Claims against specific reserve holdings

• Ownership of Heaven Realms game assets or intellectual property

• Ownership of AI Boss technology or models

8. TARGET PRICE MECHANISM

8.1 Target Price

• HEAVEN has a Target Price of $0.01 USD per token

• This is an indicative price for ecosystem pricing, NOT a guarantee

• Actual market price may vary from Target Price

8.2 No Price Guarantee
We do NOT guarantee:

• HEAVEN will maintain $0.01 value

• Redemption at exactly $0.01 per token

• Any specific price floor or ceiling

• Protection against value decline

8.3 Market Forces
Price may be affected by:

• Supply and demand dynamics

• Reserve adequacy

• Market conditions for USDT/USDC

• Platform operational status

• Regulatory developments

• General cryptocurrency market conditions

• Heaven Realms player activity and in-game economy health

• AI Boss adoption rates and competitive landscape

9. REDEMPTION TERMS

9.1 Standard Redemption (USDT/USDC)

9.1.1 Availability

• Subject to Platform liquidity and operational capacity

• May be suspended temporarily or permanently

• Processing times not guaranteed

9.1.2 Rate

• Target redemption rate: $0.01 per HEAVEN token

• Actual rate may vary based on market conditions

• Platform reserves right to adjust rates

9.1.3 Process

• Redemption requests via Platform interface

• KYC/AML verification required

• Processing time: typically 1-5 business days

• Redemption to supported blockchain addresses only

9.1.4 Limits

9.1.5 In-Game and AI Credits

9.2 Physical Gold Redemption

9.2.1 Eligibility

• Minimum: 100,000 HEAVEN tokens ($1,000 value)

• Full KYC/AML verification required

• Subject to gold reserve availability

• Not available in all jurisdictions

• Not available for tokens earned solely through Heaven Realms gameplay without external HEAVEN purchase

9.2.2 Process

• Request via Platform with 5-7 business day processing

• Gold delivered via Brinks secure transport

• Delivery to verified addresses only

• User must sign for receipt

9.2.3 Costs

• Delivery fees apply (user responsibility)

• Insurance costs (user responsibility)

• Customs/import duties (user responsibility)

• Platform may charge processing fee

9.2.4 Valuation

• Gold valued at spot price at time of request approval

• Exchange rate locked upon approval

• User bears market risk during processing period

9.3 Redemption Suspension
We may suspend redemptions if:

• Reserves fall below 80% collateralization

• Experiencing technical difficulties

• Required by law or regulation

• Suspected fraud or illegal activity

• Emergency circumstances threaten Platform stability

• Abnormal withdrawal patterns from gaming or AI usage detected

9.4 No Guarantee

• Redemption is NOT guaranteed

• Platform may permanently cease redemptions

• Users may be unable to exit positions

• Alternative liquidity sources may not exist

10. FEES

10.1 Current Fees

• BNB Smart Chain transaction fees (gas) paid by user

• Redemption fees may apply (disclosed at time of transaction)

• Physical gold delivery fees (actual cost pass-through)

• Platform service fees within Heaven Ecosystem applications

• Heaven Realms in-game transaction fees

• AI Boss workflow execution fees and credit purchases

10.2 Fee Changes

• We may modify fees with 30 days notice

• Emergency fee changes may be implemented immediately

• Continued use after fee changes constitutes acceptance

10.3 Third-Party Fees
You are responsible for:

• Exchange fees for acquiring HEAVEN

• Network fees on other blockchains

• Bank transfer fees

• Currency conversion fees

• Any fees charged by third-party service providers

• Game platform fees (if playing on mobile app stores)

• Third-party API costs when using AI Boss integrations

10.4 Revenue Sharing

• Platform retains 70% of ecosystem revenue for operations

• 30% allocated to reserves as described in Section 7

• Revenue from Heaven Realms in-app purchases contributes to reserve allocation

• AI Boss subscription and usage fees contribute to reserve allocation

11. HEAVEN REALMS SPECIFIC TERMS

11.1 Gaming Services
Heaven Realms is a gaming platform featuring:

• Virtual world exploration

• Creature collection and trading

• In-game economy and marketplace

• Player-versus-player interactions

• User-generated content capabilities

11.2 Virtual Assets

• In-game items, creatures, and assets have no guaranteed real-world value

• Virtual assets are licensed, not owned

• Platform may modify, nerf, or remove assets for game balance

• Assets may become inaccessible if game shuts down

• No guarantee of asset transferability or liquidity

11.3 Game Economy

• HEAVEN is the primary currency for in-game transactions

• Platform controls in-game economy mechanics

• Supply and distribution of in-game items at Platform discretion

• No guarantee of economic stability within game

11.4 Player Conduct

• Players must follow community guidelines

• Cheating, exploiting, or hacking results in immediate ban

• Account bans may result in loss of all in-game assets with no refund

• Platform has sole discretion on enforcement

11.5 User-Generated Content

• You grant Platform perpetual license to user-generated content

• You retain ownership but grant broad usage rights

• Content must not violate intellectual property or community standards

• Platform may remove content at any time

11.6 No Gambling

• Heaven Realms is skill-based gaming, not gambling

• Loot boxes or random rewards (if any) are disclosed probability-wise

• No guaranteed returns or winnings

• Minors with parental consent may play but cannot make purchases

11.7 Game Modifications

• Platform may update game mechanics without notice

• Balance changes may affect asset values

• New features may be added or removed

• Game may be discontinued entirely

12. AI BOSS SPECIFIC TERMS

12.1 AI Services
AI Boss provides:

• Workflow automation and orchestration

• Task generation and execution

• Marketing automation

• Multi-platform integration

• AI-powered content generation

12.2 AI Limitations and Disclaimers

• AI outputs are not guaranteed to be accurate, complete, or suitable

• AI may produce errors, hallucinations, or inappropriate content

• Platform not liable for AI mistakes or poor quality outputs

• AI is tool only; user responsible for verifying and validating results

• AI Boss is not a substitute for professional judgment

12.3 Credit System

• AI Boss services consumed using HEAVEN token credits

• Credit costs subject to change based on computational requirements

• Credits consumed upon task execution, regardless of outcome

• Failed tasks still consume credits

• No refunds for credit consumption

12.4 Third-Party Integrations

• AI Boss integrates with third-party services (social media, marketing platforms, etc.)

• User must comply with all third-party terms of service

• Platform not responsible for third-party service failures

• API rate limits and quotas may restrict functionality

• Integration availability may change without notice

12.5 Data and Privacy

• AI Boss may process user data to execute workflows

• User retains ownership of input data and outputs

• Platform uses data only to provide services (see Privacy Policy)

• AI training may use anonymized, aggregated usage data

• User must not input sensitive personal data of third parties without consent

12.6 Usage Restrictions
You may NOT use AI Boss to:

• Generate spam, malware, or harmful content

• Violate intellectual property rights

• Impersonate individuals or entities

• Manipulate or deceive others

• Violate platform policies of integrated services

• Automate account creation or bot activity

• Generate illegal or regulated content (medical advice, legal advice, etc.)

12.7 Content Responsibility

• User solely responsible for AI-generated content

• User must review outputs before publication or use

• Platform disclaims liability for user's use of AI outputs

• User indemnifies Platform for misuse of AI-generated content

12.8 Service Availability

• AI Boss availability not guaranteed

• Computational resources may be limited during peak usage

• Features may be deprecated or modified

• Service may be discontinued with 30 days notice

13. INTELLECTUAL PROPERTY

13.1 Platform Ownership
All intellectual property in Platform, Services, and HEAVEN remains our exclusive property, including:

• Trademarks, logos, and branding

• Software code and smart contracts

• Website content and design

• Documentation and materials

• Heaven Realms game assets, characters, and designs

• AI Boss models, algorithms, and automation frameworks

13.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use Platform Services

• Hold and transfer HEAVEN tokens

• Use Platform for intended utility purposes

• Play Heaven Realms and create user-generated content (subject to Section 11)

• Use AI Boss for permitted automation tasks

13.3 Restrictions
You may NOT:

• Copy, modify, or create derivatives of Platform

• Reverse engineer smart contracts or software

• Use Platform branding without written permission

• Remove proprietary notices or labels

• Extract or replicate Heaven Realms game assets

• Attempt to extract AI Boss models or training data

• Sell, sublicense, or redistribute Platform services

13.4 User-Generated Content License
For content you create using Platform (especially Heaven Realms):

• You retain ownership of your original content

• You grant Platform worldwide, perpetual, royalty-free license to use, display, modify, and distribute

• License includes right to sublicense to other users

• You represent you have rights to grant this license

• You waive moral rights to the extent permitted by law

14. PRIVACY AND DATA PROTECTION

14.1 Data Collection
We collect and process personal data including:

• Identity verification documents

• Transaction history

• Wallet addresses and blockchain data

SERVICES AND HEAVEN TOKENS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability

• Fitness for particular purpose

• Non-infringement

• Accuracy or reliability

• Uninterrupted or error-free operation

• Heaven Realms game availability, balance, or enjoyment

• AI Boss accuracy, completeness, or suitability for any purpose

15.2 No Financial Advice

• Nothing in these Terms constitutes financial, investment, legal, tax, or professional advice

• Platform does not recommend purchasing HEAVEN

• You should seek independent professional advice

• Past performance does not indicate future results

• AI Boss does not provide professional advice (legal, financial, medical, etc.)

15.3 Third-Party Services

• We are not responsible for third-party services (exchanges, wallets, custodians, game platforms)

• Third-party failures, hacks, or misconduct are beyond our control

• Integration with third parties is at your own risk

• Third-party APIs used by AI Boss may fail or change

15.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall NOT be liable for any:

• Indirect, incidental, special, or consequential damages

• Loss of profits, revenue, data, or business opportunities

• Losses from third-party actions or failures

• Losses from regulatory changes or legal actions

• Losses from market volatility or price changes

• Losses from smart contract bugs or exploits

• Losses from hacking, phishing, or theft

• Losses from your failure to secure private keys

• Losses from Heaven Realms gameplay, in-game asset devaluation, or account bans

• Losses from AI Boss errors, malfunctions, or poor quality outputs

• Losses from AI-generated content that violates third-party rights or laws

• Business losses from reliance on AI automation

15.5 Maximum Liability Cap
Our total aggregate liability for all claims shall not exceed the lesser of:

• The value of HEAVEN tokens you hold at time of claim

• £100 GBP

15.6 Jurisdictional Variations
Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

15.7 No Liability for Force Majeure
We are not liable for failures caused by:

• Natural disasters or acts of God

• War, terrorism, or civil unrest

• Government actions or regulatory changes

• Internet or telecommunications failures

• Blockchain network failures or forks

• Hacking or cyberattacks beyond our control

• Game server outages or DDoS attacks

• AI infrastructure failures or model degradation

15.8 Gaming Specific Disclaimers

• No guarantee of game availability or continuity

• Game balance changes at Platform discretion

• In-game economies may inflate, deflate, or collapse

• Virtual assets have no guaranteed real-world value

15.9 AI Specific Disclaimers

• AI outputs may be inaccurate, biased, or inappropriate

• AI cannot replace human judgment or expertise

• AI-generated content may infringe third-party rights (user must verify)

• Automation may produce unintended consequences

16. INDEMNIFICATION

16.1 Your Indemnity
You agree to indemnify, defend, and hold harmless Platform, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your violation of these Terms

• Your violation of any law or regulation

• Your violation of third-party rights

• Your use or misuse of HEAVEN or Services

• Your provision of inaccurate information

• Your negligence or willful misconduct

• Your Heaven Realms user-generated content

• Your use of AI Boss outputs or automated workflows

• Third-party claims arising from your AI-generated content

• Intellectual property infringement from your activities

16.2 Defense Cooperation
You agree to cooperate fully in the defense of any claim subject to indemnification.

17. DISPUTE RESOLUTION

17.1 Informal Resolution
Before initiating formal proceedings, you agree to:

• Contact Platform support to attempt resolution

• Provide detailed description of dispute

• Allow 30 days for good-faith negotiation

17.2 Arbitration (For Non-UK Consumers)
Disputes that cannot be resolved informally shall be resolved by binding arbitration:

• Under ICC Arbitration Rules

• Single arbitrator mutually agreed or appointed by ICC

• Seat of arbitration: London, England

• Language: English

• Each party bears own costs plus half of arbitration fees

17.3 UK Consumer Rights
If you are a UK consumer:

• You retain all statutory rights under UK consumer protection law

• Nothing in these Terms removes your right to bring proceedings in court

• Arbitration provisions above do not apply to you

• You may bring claims in local courts if applicable

17.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, you agree:

• Disputes will be resolved individually, not as class actions

• You waive participation in class action lawsuits

• You waive participation in class-wide arbitration

17.5 Equitable Relief

• Financial sanctions regulations

18.2 Suspicious Activity Reporting
We will report suspicious activities to:

• National Crime Agency (NCA)

• Office of Financial Sanctions Implementation (OFSI)

• Other authorities as required by law

18.3 Transaction Monitoring
We monitor transactions for:

• Unusual patterns or volumes

• Sanctions violations

• Fraud indicators

• Money laundering red flags

• Abnormal gaming activity suggesting RMT (real-money trading)

• AI Bot usage patterns

18.4 Cooperation with Authorities
We will cooperate fully with:

• Law enforcement investigations

• Regulatory inquiries

• Court orders and subpoenas

• Information requests from competent authorities

18.5 Sanctions Screening
All users are screened against:

• OFAC SDN List

• UK HMT Sanctions List

• EU Sanctions List

• UN Sanctions List

18.6 Gaming Regulations

• Heaven Realms complies with applicable gaming regulations

• Age verification for minor accounts

• Parental consent mechanisms

• Responsible gaming features

19. CHANGES TO TERMS

19.1 Modification Rights
We may modify these Terms at any time by:

• Posting updated Terms on Platform

• Notifying you via email or Platform notification

• Updating "Effective Date" at top of Terms

19.2 Notice Period

• Material changes: 30 days notice before effective date

• Non-material changes: May be effective immediately

• Emergency changes (legal/regulatory): Effective immediately

• Game balance updates: No advance notice required

• AI feature updates: 7 days notice for material changes

19.3 Acceptance of Changes

• Continued use after changes constitutes acceptance

• If you do not accept changes, you must cease using Platform

• You may redeem HEAVEN (subject to redemption terms) before changes take effect

19.4 Version History
Previous versions of Terms will be archived and available upon request.

20. ACCOUNT TERMINATION

20.1 Termination by User
You may close your account at any time by:

• Requesting account closure via Platform

• Redeeming or transferring all HEAVEN holdings

• Note: Blockchain transactions remain permanently public

• Note: Heaven Realms in-game assets may be forfeit

20.2 Termination by Platform
We may terminate your account if:

• You violate these Terms

• Required by law or regulation

• You fail KYC/AML verification

• Account shows suspicious activity

• Platform ceases operations

• You cheat or exploit Heaven Realms

• You misuse AI Boss for prohibited purposes

20.3 Effect of Termination
Upon termination:

• Your access to Platform Services ends

• You retain HEAVEN tokens in your wallet (blockchain-based)

• Redemption rights continue subject to these Terms

• All outstanding fees remain due

• Heaven Realms account and in-game assets permanently lost

• AI Boss credits and workflow history may be deleted

20.4 No Refunds
Account termination does not entitle you to refunds of:

• Fees paid

• Tokens purchased

• Services consumed

• In-game purchases

• AI Boss credits

21. MISCELLANEOUS PROVISIONS

21.1 Entire Agreement
These Terms, together with Privacy Policy and any supplemental terms, constitute the entire agreement between you and Platform regarding HEAVEN.

21.2 Severability
If any provision is found unenforceable, the remaining provisions continue in full force and effect. Unenforceable provisions shall be modified to the minimum extent necessary.

21.3 No Waiver
Our failure to enforce any right or provision does not constitute waiver of that right or provision.

21.4 Assignment

• You may not assign these Terms without our written consent

• We may assign to affiliates or in connection with merger/acquisition

• Terms bind successors and permitted assigns

21.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.

21.6 Survival
Provisions that by nature should survive termination shall survive, including: warranties, disclaimers, limitations of liability, indemnification, dispute resolution.

21.7 Relationship
These Terms do not create partnership, joint venture, employment, or agency relationship.

21.8 Third-Party Rights
No third party has rights under these Terms (Contracts (Rights of Third Parties) Act 1999 excluded).

21.9 Electronic Communications
You consent to receive communications electronically and agree this satisfies legal requirements for written communications.

21.10 Language
English version controls. Translations provided for convenience only.

22. GOVERNING LAW AND JURISDICTION

22.1 Governing Law
These Terms are governed by the laws of Grenada, without regard to conflict of law principles.

22.2 Jurisdiction
Subject to arbitration provisions in Section 17:

• Courts of Grenada have exclusive jurisdiction

BY ACQUIRING, HOLDING, OR USING HEAVEN TOKEN, YOU ACKNOWLEDGE THAT:

✓ You understand HEAVEN is not regulated by the FCA
✓ You understand HEAVEN is a utility token, not an investment
✓ You have no guarantee of price stability or redemption
✓ You may lose your entire investment
✓ You are responsible for all tax obligations
✓ You meet all eligibility requirements
✓ You will comply with all applicable laws
✓ You have sought independent advice or waive the right to do so
✓ You accept the limitations of liability in Section 15
✓ You agree to dispute resolution terms in Section 17
✓ You understand Heaven Realms virtual assets have no guaranteed value
✓ You understand AI Boss outputs are not guaranteed to be accurate or suitable
✓ You accept responsibility for AI-generated content and automated workflows
✓ You will not exploit game mechanics or use AI for prohibited purposes
